We may update and change our site from time to time to reflect changes to our business, our portfolio, our users’ needs and our business priorities.

We may suspend or withdraw our site

Intellectual property rights

We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. The names, logos and other marks of our portfolio companies and other third parties displayed on our site belong to their respective owners, and their display does not grant you any licence to use them. Except to the extent expressly permitted by applicable law that cannot be excluded by agreement, we expressly reserve all rights in our site and its content in relation to text and data mining, web scraping and the use of any content to develop, train, fine-tune or validate any machine learning or artificial intelligence model or system.

Do not rely on information on this site

The content on our site is provided for general information only. It is not intended to amount to, and must not be relied upon as, investment, financial, legal, tax, accounting or other advice, or as a recommendation in relation to any investment or company. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site. Although we make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up to date. Some content on our site may include forward-looking statements or the opinions of members of our team, which are subject to change without notice and may not prove to be correct. Information about our portfolio companies is provided for illustrative purposes only, may be based on information provided by those companies or other third parties that we have not independently verified, and should not be taken as representative of all investments made by any fund or other investment vehicle managed or advised by us or our affiliates (each a “Notion Fund”) or as an indication of the performance of any Notion Fund. The inclusion of a company on our site does not constitute an endorsement or recommendation of that company or its products or services.

We are not responsible for websites we link to

Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources. We are not responsible for them or for any loss or damage that may arise from your use of them.

Business plans and other information you send to us

We receive a large number of business plans, pitch decks, investment proposals and other materials and ideas. If you send us any such material (whether through our site, by email or otherwise), you acknowledge and agree that:

  • we are under no obligation to review it or to respond to you;
  • Notion Funds may already be invested in, or may in the future invest in, businesses that are similar to or compete with yours, and we may be evaluating or developing similar ideas independently of you; and
  • nothing in these terms or in your submission restricts our ability to do so, or creates any fiduciary or other duty owed by us to you.

Please do not send us any information that you regard as confidential or commercially sensitive unless we have first agreed in writing to receive it on a confidential basis.

Our responsibility for loss or damage suffered by you

Whether you are a consumer or a business user:

  • We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
  • Nothing in these terms excludes or restricts any duty or liability we may have to you under the Financial Services and Markets Act 2000 or the rules of the Financial Conduct Authority.

If you are a business user:

  • We exclude all implied conditions, warranties, representations or other terms that may apply to our site or any content on it.
  • We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
    • use of, or inability to use, our site; or
    • use of or reliance on any content displayed on our site.
  • In particular, we will not be liable for:
    • loss of profits, sales, business, or revenue;
    • business interruption;
    • loss of anticipated savings;
    • loss of business opportunity, goodwill or reputation; or
    • any indirect or consequential loss or damage.

If you are a consumer user:

  • You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
  • If defective digital content that we have supplied, damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation.

We are not responsible for viruses and you must not introduce them

We do not guarantee that our site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software. You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

Prohibited uses

You may use our site only for lawful purposes. You must not:

  • use our site in any way that breaches any applicable law or regulation, or that is fraudulent or has any fraudulent purpose or effect;
  • use any robot, spider, scraper or other automated means to access, copy, extract or monitor our site or any content on it, other than standard search engine indexing;
  • use our site or any of its content to develop, train or improve any machine learning or artificial intelligence model or system;
  • impersonate Notion Capital, any Notion Fund or any member of our team, or misrepresent your affiliation with any of them; or
  • attempt to interfere with the proper working of our site.

Beware of fraud and impersonation

Fraudsters may impersonate investment firms, including by using the names of our firm, our funds or our team members, or by creating cloned websites or email addresses. If you are contacted by anyone claiming to represent Notion Capital and you have any doubt about whether the approach is genuine, please contact us using the details on this page before taking any action, and check our details on the Financial Services Register at register.fca.org.uk. You can report a suspected scam to the Financial Conduct Authority.

Which country’s laws apply to any disputes?

These terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

General

Third party rights: each other member of the Notion group may enforce the provisions of these terms that exclude or limit liability or that relate to intellectual property rights. Otherwise, no person other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999. We do not need the consent of any other person to amend these terms.

Severability: if any provision of these terms is found to be invalid or unenforceable, it will be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will continue in full force and effect.

No waiver: if we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breach of these terms, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
